Strict Confidentiality Agreement for Installers

1. Introduction

This Confidentiality Agreement (“Agreement”) is made between Skylightsaustralia.au (“Company”) and the undersigned installer (“Installer”), upon the date of the Installer’s registration with the Company’s platform. The Company provides a service that connects homeowners with professional installers for skylight installation services (“Services”). In the course of performing Services, the Installer may have access to confidential and sensitive customer information. The purpose of this Agreement is to set forth the terms under which such information may be used and disclosed.

1. Definition of Confidential Information

“Confidential Information” includes but is not limited to all data, documents, agreements, files, communications, and electronically stored information provided by or on behalf of the Company to the Installer, or to which the Installer gains access in connection with the Services. This includes customer names, addresses, contact information, service requests, and any other information identified as confidential by the Company.

2. Obligation of Confidentiality

The Installer agrees to:

• Maintain the confidentiality of all Confidential Information.
• Not disclose Confidential Information to any third party without the prior written consent of the Company.
• Use Confidential Information solely for the purpose of performing the Services as directed by the Company.
• Implement appropriate measures to protect the security and integrity of Confidential Information.

3. Return or Destruction of Confidential Information

Upon the termination of the Installer’s relationship with the Company, or upon the Company’s request, the Installer shall return all Confidential Information to the Company or certify, if requested, that all materials have been destroyed.

4. Breach of Agreement

The Installer acknowledges that any breach of this Agreement may result in irreparable harm to the Company, for which damages may not be an adequate remedy. Accordingly, the Company shall be entitled to seek injunctive relief, without the requirement of posting a bond, in addition to any other remedies available at law or in equity.

5. Term

The obligations under this Agreement shall remain in effect indefinitely from the date of the Installer’s registration with the Company.

6. General Provisions

This Agreement shall be governed by and construed in accordance with the laws of Australia. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the Australia courts.

Acknowledgment and Acceptance:

By selecting the checkbox during the online registration process, I, the undersigned installer, acknowledge and agree that:

• I have read, understood, and agree to be bound by the terms of this Confidentiality Agreement as part of my registration with Skylightsaustralia.au.
• My acceptance of this Agreement is signified by checking the corresponding box in the online registration form, serving as my electronic signature, which I understand and agree binds me to the terms of this Agreement in the same manner as a physical signature would.
• This electronic acceptance and agreement are to be fully effective and enforceable concerning my use of Skylightsaustralia.au services and my access to any customer information through the Skylightsaustralia.au platform.
